TERMS OF SERVICE

By purchasing, accessing, or using any GoldStep service, checkout page, invoice, proposal, or managed service, you agree to these Terms of Service.

1. Services

GoldStep provides digital business services, including but not limited to:

- website design, updates, hosting, and maintenance

- QR review systems and reputation funnels

- reputation management and AI review replies

- voice AI and communication automations

- chat widgets and website communication tools

- CRM, workflow, and lead capture systems

- Instagram, Facebook, and messaging automations

- reporting dashboards and monthly optimization

- managed done-for-you digital services

- onboarding, strategy, consulting, and support

Service scope may vary based on the selected plan, checkout page, invoice, proposal, custom written agreement, or managed service arrangement.

2. Fees and Billing

All fees are billed in CAD unless otherwise stated. Services are billed month-to-month unless a yearly plan is selected.Recurring services renew automatically each billing cycle until cancelled in accordance with Section 4.

Usage-based charges, third-party pass-through fees, telecom charges, hosting costs, carrier fees, software overages, domains, messaging fees, and other service-related costs may be billed separately where applicable.

3. No Refunds

All payments made to GoldStep are final and non-refundable, including:

- initial payments

- trial renewals

- monthly subscription charges

- yearly plans once billed

- activation fees

- setup fees

- consulting or strategy fees

- usage charges

- telecom and messaging fees

- hosting, domains, and software fees

- third-party costs already incurred

This applies whether services are delivered through direct platform access, no-login managed services, or fully done-for-you service delivery.

4. Cancellation

Clients may cancel future renewals only by sending written notice to:

Notice must be sent at least 48 hours before the next billing date.

Cancellation applies only to future billing cycles and does not create any right to a refund for the current billing cycle or any prior payment.

Requests received less than 48 hours before renewal may apply to the following billing cycle.

5. Suspension, Restriction, and Removal

GoldStep may suspend, pause, restrict, or remove access to any services for:

- overdue invoices

- failed payments

- disputed charges

- chargebacks

- unpaid usage fees

- acceptable use violations

- legal compliance concerns

- abuse of systems or automations

This may include websites, widgets, dashboards, automations, phone numbers, hosting, domains, reporting, integrations, or managed services.

6. No Guarantee of Results

GoldStep does not guarantee:

- leads

- reviews

- booked calls

- rankings

- conversions

- revenue

- sales outcomes

- customer response rates

- website traffic

- uptime from third-party providers

Business results depend on client responsiveness, offer quality, market conditions, competition, customer demand, third-party platforms, and external factors outside GoldStep’s control.

7. Third-Party Services

Some GoldStep services rely on third-party platforms, hosting providers, payment processors, telecom providers, social platforms, APIs, carriers, and integrations.

GoldStep is not responsible for outages, delays, API restrictions, policy changes, telecom failures, carrier issues, downtime, suspensions, account limitations, or failures caused by third-party providers.

8. Client Responsibilities

Clients are responsible for:

- providing accurate information

- maintaining lawful rights to connected accounts

- complying with marketing and communication laws

- obtaining any required customer consent

- reviewing deliverables when approval is requested

- timely lead follow-up and business operations

9. Intellectual Property

GoldStep retains ownership of its systems, templates, workflows, automations, scripts, prompts, snapshots, frameworks, delivery methods, onboarding systems, and internal processes.

Clients retain ownership of their logos, trademarks, content, and brand assets they provide.

10. Acceptable Use

Clients may not use GoldStep services to:

- violate any law

- send deceptive, unlawful, or spam communications

- impersonate another business

- infringe intellectual property rights

- abuse messaging or automation systems

- distribute malware or harmful content

-use automations for fraud, harassment, abuse, or misleading conduct

GoldStep may suspend services immediately for violations.

11. Chargebacks and Payment Disputes

Submitting a chargeback or payment dispute does not cancel future billing obligations unless cancellation is separately requested under Section 4.

GoldStep reserves the right to suspend services immediately while any payment dispute is under review.

12. Limitation of Liability

GoldStep’s total liability for any claim relating to the affected service will not exceed the total amount paid by the client for that specific service during the one (1) month immediately preceding the event giving rise to the claim.

GoldStep is not liable for indirect, incidental, consequential, lost-profit, lost-lead, special, punitive, or business interruption damages.

13. Electronic Acceptance

Checkout purchases, digital signatures, mandatory checkboxes, online invoices, proposals, electronic approvals, and online payments constitute valid acceptance of these Terms and are legally binding to the fullest extent permitted under Ontario law.

14. Governing Law and Disputes

These Terms are governed by the laws of Ontario, Canada.

Any dispute, claim, or proceeding arising from GoldStep services shall be brought exclusively in the courts of Ontario, Canada.
