GoldStep Terms of Service

By purchasing, subscribing to, accessing, or using any GoldStep service, you acknowledge that you have read, understood, and agreed to these Terms of Service.

1. SERVICES

GoldStep provides digital services including, but not limited to:

  • Website design and hosting
  • Website maintenance
  • Reputation management and review automation
  • AI-generated review replies
  • Voice AI services
  • CRM setup and automation
  • SMS and email automation
  • Chat widgets and live chat systems
  • Booking systems and calendars
  • Lead capture and follow-up systems
  • Marketing automation
  • Consulting and related digital services

GoldStep reserves the right to modify, replace, improve, suspend, discontinue, or remove any service, software provider, integration, platform, feature, or functionality at any time.

2. FEES, BILLING, AND TAXES

All fees are billed in Canadian Dollars (CAD).

Applicable taxes, including HST, are additional unless otherwise stated.

Recurring services automatically renew unless cancelled in accordance with these Terms.

The client authorizes GoldStep to charge all applicable subscription fees, setup fees, hosting fees, maintenance fees, usage fees, overage fees, taxes, and service charges associated with the services provided.

Failure to make payment when due may result in immediate suspension or termination of services.

Outstanding balances remain payable regardless of service suspension or termination.

3. VOICE AI USAGE AND OVERAGE FEES

Certain GoldStep Voice AI plans include a monthly allotment of Voice AI minutes as outlined in the client's proposal, invoice, order form, onboarding agreement, or subscription plan.

Included minutes reset at the beginning of each billing cycle and do not roll over.

Any Voice AI usage exceeding the included monthly allotment shall be billed at a rate of $0.55 CAD (fifty-five cents) per additional minute plus applicable taxes.

Example:

If a client's plan includes 500 Voice AI minutes and the client uses 700 minutes during a billing cycle, the additional 200 minutes shall be billed at $0.55 CAD per minute, resulting in an overage charge of $110.00 CAD plus applicable taxes.

GoldStep may invoice overage charges separately, automatically charge the payment method on file, or add such charges to the client's next billing cycle.

Client authorizes GoldStep to collect all applicable overage fees.

Voice AI usage records maintained by GoldStep and its service providers shall be deemed accurate unless proven otherwise.

Failure to pay overage charges may result in suspension or termination of services.

4. NO REFUNDS

All payments made to GoldStep are final and non-refundable.

This includes but is not limited to:

  • Setup fees
  • Subscription fees
  • Hosting fees
  • Maintenance fees
  • Voice AI fees
  • Voice AI overage fees
  • SMS fees
  • Usage-based fees
  • AI-related services
  • Custom development
  • Consulting services
  • Third-party service fees

No refunds, credits, partial refunds, reimbursements, or charge reversals shall be issued for any reason.

5. CANCELLATION

Cancellation requests must be submitted by email to:

at least forty-eight (48) hours prior to the next billing date.

Cancellation requests received after this period may result in the next billing cycle being charged.

Cancellation does not eliminate responsibility for any outstanding balances, overage charges, or fees already incurred.

6. WEBSITE HOSTING, MAINTENANCE, AND OWNERSHIP

Where applicable, websites provided by GoldStep are offered exclusively as a managed hosted subscription service.

Website services are billed at $97 CAD per month plus applicable taxes unless otherwise agreed in writing.

The monthly website fee helps cover:

  • Website hosting
  • Website maintenance
  • Security updates
  • Software and platform updates
  • Website monitoring
  • Technical maintenance
  • Chat widgets (where applicable)
  • Forms and booking systems (where applicable)
  • CRM integrations (where applicable)
  • Ongoing website operation and infrastructure

GoldStep retains all ownership rights, title, interest, intellectual property rights, source code, designs, templates, systems, automations, workflows, integrations, hosting environments, and proprietary assets used to provide the service.

Clients are purchasing access to and use of the website service only.

Clients do not acquire ownership of:

  • Website source code
  • Website infrastructure
  • Website templates
  • Website frameworks
  • Hosting environments
  • Design systems
  • Automations
  • Workflows
  • Integrations
  • Proprietary assets or intellectual property

Website ownership is not transferred to the client.

GoldStep does not provide website ownership transfers, source code transfers, website exports, platform migrations, downloadable website copies, design files, or transfers of intellectual property.

Website access remains active only while the website subscription remains active and in good standing.

If website subscription fees are cancelled, unpaid, disputed, charged back, suspended, or terminated, GoldStep may immediately suspend or remove the website and all related services without notice or liability.

The client acknowledges that the monthly website fee is required to keep the website hosted, maintained, operational, secure, and accessible.

The client is solely responsible for maintaining copies of any content they wish to retain.

7. PRICING CHANGES

GoldStep reserves the right to modify subscription fees, hosting fees, maintenance fees, setup fees, overage fees, Voice AI rates, SMS rates, usage-based fees, and any other service pricing from time to time.

Should pricing changes occur, GoldStep will provide reasonable notice to affected clients prior to the new pricing taking effect.

Continued use of GoldStep services after the effective date of a pricing change constitutes acceptance of the updated pricing.

If the client does not agree to the revised pricing, the client may cancel services in accordance with these Terms.

8. AI SERVICES DISCLAIMER

Client acknowledges that artificial intelligence technologies are inherently probabilistic and are not guaranteed to be accurate.

AI systems may occasionally generate:

  • Incorrect information
  • Incomplete information
  • Delayed responses
  • Unexpected outputs
  • Duplicate actions
  • Missed actions
  • Misinterpretations
  • Booking errors
  • Communication errors

GoldStep makes no representation, warranty, or guarantee regarding the accuracy, reliability, completeness, legality, suitability, effectiveness, or performance of any AI-generated output.

Client accepts all risks associated with the use of AI technologies.

9. VOICE AI SERVICES

Voice AI services are intended as automated communication tools.

GoldStep does not guarantee that Voice AI services will:

  • Answer every call
  • Capture every lead
  • Book every appointment correctly
  • Transfer every caller successfully
  • Understand every request
  • Operate without interruption
  • Operate without error
  • Produce accurate responses in every circumstance

Voice AI performance may be affected by AI limitations, software outages, internet connectivity issues, carrier issues, call quality issues, customer behavior, and third-party platform failures.

GoldStep shall not be liable for missed calls, lost customers, lost opportunities, lost leads, lost revenue, incorrect bookings, incorrect information, customer dissatisfaction, or communication failures arising from the use of Voice AI services.

Voice AI is not an emergency service and must not be relied upon for medical, legal, public safety, or emergency situations.

10. SMS, EMAIL, CHAT, AND COMMUNICATION SERVICES

GoldStep does not guarantee delivery, timing, receipt, availability, performance, or accuracy of SMS messages, emails, calls, voicemails, notifications, chat widget conversations, or automated communications.

Delivery and performance depend upon third-party providers, carrier networks, internet connectivity, spam filters, device settings, and external systems.

GoldStep shall not be liable for delayed, blocked, filtered, duplicated, failed, or undelivered communications.

11. REVIEWS, GOOGLE, AND THIRD-PARTY PLATFORMS

GoldStep does not own, control, or operate Google or any third-party platform.

GoldStep cannot guarantee:

  • Review approval
  • Review publication
  • Review retention
  • Review visibility
  • Search engine rankings
  • Google rankings
  • Google Business Profile performance
  • Account verification
  • Account reinstatement

GoldStep shall not be liable for review removals, profile suspensions, ranking changes, policy enforcement actions, account restrictions, or any actions taken by third-party platforms.

12. CLIENT AUTHORIZATION

Client authorizes GoldStep and its systems to communicate with customers, prospects, callers, website visitors, and leads through Voice AI, SMS, email, chat widgets, booking systems, CRM automations, and AI technologies where necessary to provide services purchased by the client.

Client is solely responsible for obtaining any legally required consent from its customers and contacts.

13. THIRD-PARTY SERVICES

GoldStep relies on third-party providers including but not limited to CRM providers, AI providers, telecommunication providers, hosting providers, payment processors, search engines, social media platforms, cloud providers, and domain registrars.

GoldStep does not control and is not responsible for the availability, uptime, pricing, policies, actions, outages, security, or failures of any third-party provider.

14. CLIENT RESPONSIBILITIES

The client is solely responsible for:

  • The accuracy of information supplied to GoldStep
  • Compliance with laws and regulations
  • Customer consent requirements
  • Website content
  • Marketing content
  • Communications sent through the services
  • Reviewing AI-generated outputs before relying upon them

GoldStep does not provide legal, accounting, tax, regulatory, or compliance advice.

15. DATA, BACKUPS, AND RECORDS

GoldStep does not guarantee the preservation, storage, recovery, retention, or backup of any data.

Clients are solely responsible for maintaining independent backups of all leads, contacts, recordings, messages, customer information, website content, and business records.

GoldStep shall not be liable for any loss of data.

16. NO GUARANTEE OF RESULTS

GoldStep does not guarantee:

  • Revenue increases
  • Lead generation results
  • Search engine rankings
  • Website traffic
  • Review growth
  • Appointment volume
  • Conversion rates
  • Business growth
  • Return on investment

Past performance does not guarantee future results.

17. LIMITATION OF LIABILITY

To the maximum extent permitted by law, GoldStep, its owners, employees, contractors, affiliates, partners, and representatives shall not be liable for any indirect, incidental, consequential, punitive, special, or economic damages.

This includes but is not limited to:

  • Lost profits
  • Lost revenue
  • Lost leads
  • Lost customers
  • Lost opportunities
  • Lost data
  • Reputational harm
  • Website downtime
  • AI errors
  • Communication failures
  • Booking errors
  • Automation failures

Under no circumstances shall GoldStep's total liability exceed the total amount paid by the client to GoldStep during the three (1) month immediately preceding the event giving rise to the claim.

18. INDEMNIFICATION

Client agrees to defend, indemnify, and hold harmless GoldStep, its owners, employees, contractors, affiliates, and representatives from any claims, liabilities, damages, losses, penalties, expenses, costs, or legal fees arising from:

  • Client's use of the services
  • Client content
  • Customer disputes
  • Marketing activities
  • AI-generated communications
  • SMS communications
  • Email communications
  • Voice AI communications
  • Violations of law or regulation

19. RECORDINGS AND COMMUNICATION MONITORING

Client acknowledges that calls, recordings, transcripts, messages, chats, emails, and communications may be processed, stored, analyzed, transcribed, reviewed, and monitored by GoldStep and its service providers for service delivery, reporting, troubleshooting, quality assurance, compliance, training, and operational purposes.

Client is solely responsible for complying with all privacy, consent, recording, telecommunications, and data protection laws.

20. CHARGEBACKS AND PAYMENT DISPUTES

Client agrees not to initiate chargebacks or payment disputes for services that have been delivered, made available, or provided.

Any chargeback, payment dispute, reversal, or payment cancellation may result in immediate suspension or termination of all services.

Client remains responsible for all unpaid balances, collection costs, administrative expenses, legal fees, and recovery expenses incurred by GoldStep.

21. FORCE MAJEURE

GoldStep shall not be liable for delays, interruptions, outages, failures, or inability to provide services caused by events beyond its reasonable control.

22. RIGHT TO REFUSE OR TERMINATE SERVICE

GoldStep reserves the right to refuse, suspend, restrict, or terminate services immediately for non-payment, fraud, abuse, chargebacks, harassment, security concerns, legal concerns, or violations of these Terms.

23. NO EXCLUSIVITY

Unless expressly agreed in writing, GoldStep may provide services to competing businesses, including businesses operating within the same industry, city, market, or geographic area.

No exclusivity rights are granted.

24. GOVERNING LAW

These Terms shall be governed by and interpreted in accordance with the laws of Ontario, Canada.

Any legal proceeding arising from these Terms shall be brought exclusively within Ontario, Canada.

25. ENTIRE AGREEMENT

These Terms constitute the entire agreement between GoldStep and the client and supersede all prior discussions, proposals, marketing materials, verbal statements, representations, understandings, and agreements.

26. ACCEPTANCE OF TERMS

By purchasing, subscribing to, accessing, or using any GoldStep service, the client acknowledges that they have read, understood, and agreed to these Terms of Service.
