These Terms and Conditions (“Terms”) govern your access to goldstep.io and, unless a signed agreement says otherwise, the purchase and use of GoldStep services — including our AI Phone Receptionist, Smart Website, Reputation System, CRM-connected workflows, SMS, hosting, and related support. By using the website or purchasing services, you agree to these Terms. If you do not agree, do not use the site or services.

Signed agreements control. If you sign a Master Service Agreement, Plan Summary, Website Addendum, proposal, or other written contract with GoldStep, that signed document controls over these website Terms for the paid relationship where they conflict. These Terms still apply to website use and fill gaps where the signed agreement is silent.

1. Who we are

“GoldStep,” “we,” “us,” and “our” mean GoldStep Marketing Agency, operating from Niagara Falls, Ontario, Canada. Contact: [email protected] · +1 (647) 699-1994.

“You” and “Client” mean the business or person accessing the site or purchasing services. If you act for a company, you represent that you have authority to bind that company.

2. Website use

You may use goldstep.io for lawful, informational, and business-inquiry purposes only. You may not:

  • Scrape, copy, or republish substantial site content without permission.
  • Attempt to disrupt, probe, or gain unauthorized access to our systems or client systems.
  • Use the site to send spam, malware, or unlawful content.
  • Misrepresent your identity or affiliation when contacting us.

Site content may change without notice. Pricing, features, and examples on the site are informational until confirmed in a signed Plan Summary or checkout confirmation.

3. Services

GoldStep provides managed customer-capture systems that work beside your team, not instead of them. Depending on plan, services may include:

  • Essentials — AI Phone Receptionist (Backup, Full-time, After-hours, or combination), appointment/reservation handling, smart transfers, missed-call text-back, SMS confirmations/notifications, CRM integration, and support.
  • Growth — Essentials plus Smart Website (up to 10 pages) and Reputation System (review requests, private feedback, professional responses, monitoring), with hosting and maintenance while the subscription is active.
  • Individual services (Reputation Management, AI Phone Receptionist, or Smart Website) when sold separately.

Delivery clocks (for example, 7 or 14 business days after a complete Launch Kit, or after a signed placeholder waiver) and the included first thirty (30) calendar days after Go-Live are described on /pricing and in your Plan Summary. Incomplete Launch Kits, delayed approvals, or client changes pause GoldStep’s delivery timeline.

Go-Live means the applicable system is live in your business (for example, call routing active, website published, and/or reputation workflows live, as applicable). Recurring monthly fees generally begin on day 31 after Go-Live unless your signed summary states otherwise.

4. No results guarantees

GoldStep does not guarantee business results. Without limiting the foregoing, we do not guarantee:

  • Revenue, profit, bookings, reservations, or job volume.
  • Google rankings, search visibility, or advertising performance.
  • A specific number of reviews, star ratings, or reputation outcomes.
  • That every call will be answered perfectly, booked, transferred, or converted.
  • That every lead, SMS, or form will result in a sale.
  • Uninterrupted uptime of phone carriers, SMS networks, Google, CRM platforms, or the public internet.

Examples, case studies, analytics screenshots, testimonials, and “Proof” materials show real work where stated, but they are illustrative. Past or third-party outcomes are not a promise of your future results. Empty or redacted metrics are intentional and do not create any warranty.

5. AI, phone, SMS, and accuracy

Our AI Phone Receptionist and related automations use artificial intelligence, scripts, rules, and third-party telephony/SMS infrastructure. AI can misunderstand callers, hallucinate details, mis-book, fail to transfer, or behave unexpectedly — especially if business information is incomplete, ambiguous, or outdated.

You acknowledge and agree that:

  • GoldStep systems are assistive tools, not a substitute for professional judgment, licensed advice, or your staff’s duty of care to guests and customers.
  • You are responsible for reviewing transcripts, CRM logs, calendars, and configurations and for correcting errors promptly.
  • You must provide and maintain accurate hours, services, pricing, policies, transfer rules, and escalation paths.
  • You are responsible for lawful call recording / monitoring notices and consents in every jurisdiction that applies to your callers.
  • You are responsible for CASL and other messaging consent requirements for SMS and email sent through or because of GoldStep systems.
  • Included Voice AI minutes, overage rates (currently $0.45 CAD per minute after included minutes unless your Plan Summary differs), and no-rollover rules apply as stated in your plan.

To the maximum extent permitted by law, GoldStep is not liable for losses arising from AI errors, missed or mishandled calls, SMS delays/failures, booking mistakes, or reliance on automated outputs, except as expressly stated in a signed agreement or as cannot be excluded under Ontario law.

6. Your responsibilities

You agree to:

  • Provide a complete Launch Kit and timely approvals (including written Approve to Launch where required).
  • Ensure staff understand how modes work (Backup / Full-time / After-hours) and when humans must take over.
  • Keep payment methods current and pay fees when due (CAD + applicable HST in Ontario unless otherwise stated).
  • Use the services only for lawful business purposes and in compliance with telecom, privacy, advertising, and consumer laws.
  • Not use review or reputation tools to post fake reviews, suppress lawful consumer speech illegally, or violate Google or platform policies.
  • Not reverse engineer, resell, or sublicense GoldStep systems except as expressly allowed in writing.
  • Maintain confidentiality of login credentials and limit access to authorized personnel.

7. Plans, fees, and billing

Unless a signed Plan Summary states otherwise:

  • Services are month-to-month. You may cancel according to the notice terms in your agreement or, if silent, by written notice ending service at the end of the then-current billing period.
  • Implementation / onboarding fees are non-refundable once work has started or the fee is due under your summary, including when you cancel during the included first 30 days after Go-Live.
  • During the included first 30 days after Go-Live, both parties may walk away from ongoing monthly charges; the implementation fee still remains non-refundable; Growth websites are taken offline/archived on cancel without buyout.
  • Optional annual prepay (pay for 10, receive 12) may be offered as described on /pricing.
  • Failed-payment grace may apply (for example, 14 days) before suspension; unpaid sums remain due.
  • If your Launch Kit was complete and GoldStep misses the applicable 7- or 14-business-day delivery window, the goodwill remedy is typically an extension of the first paid month free — not a cash refund of implementation — unless your signed agreement provides a different remedy.
  • Referral credits (for example, $200) apply only when the referred client signs and pays the required deposit/implementation, and only as credit to a GoldStep account.

Published prices may change for new clients or renewals with notice. Taxes are extra where required.

8. Smart Website ownership

For Growth and website-inclusive plans (unless your Website Addendum differs):

  • While your subscription is active, the website is hosted, maintained, and supported as part of the plan — no $6,000 upfront is required to use the site.
  • On cancel without an agreed buyout, the site goes offline (typically within seven days) and may be archived.
  • Stated build value is generally $6,000+ CAD. Ownership of the site code may be included after sixty (60) completed paid months following the included Go-Live period (buyout $0), or earlier via a prorated buyout that starts at $6,000+ and declines (for example, $100 per completed paid month beginning at the first paid month after the included 30 days).
  • Buyout delivers code export only. It excludes hosting, CRM, automations, Reputation System, AI Phone Receptionist, SMS, live integrations, and ongoing support.
  • Implementation typically includes a limited number of revision rounds (for example, two after first draft) then written Approve to Launch. Material redesign after approval is a separate change order.

9. Intellectual property

GoldStep retains all right, title, and interest in our pre-existing materials, frameworks, automations, prompt libraries, design systems, software, trademarks (including “GoldStep”), and know-how. You retain ownership of your trademarks, logos, and content you supply.

You grant GoldStep a non-exclusive license to use your brand assets and content as needed to deliver the services. Unless you opt out in writing, you also grant us permission to show your business name, logo, and non-confidential work examples in our portfolio, Proof page, and marketing — without implying a results guarantee.

Except for website code delivered under a completed buyout or 60-month ownership path, you receive a limited, non-transferable right to use GoldStep-configured systems only while subscribed and in good standing.

10. Third-party platforms

Services depend on third parties we do not control, including but not limited to telephony carriers, SMS providers, Google, Meta, payment processors, hosting providers, and CRM/automation platforms (such as GoHighLevel). Their outages, policy changes, rate limits, account suspensions, or API changes can affect GoldStep performance.

GoldStep is not liable for third-party acts, omissions, downtime, data loss, or policy enforcement, except to the extent a signed agreement expressly says otherwise. Your use of third-party platforms remains subject to their terms.

11. Disclaimer of warranties

To the maximum extent permitted by applicable law, the website and services are provided “as is” and “as available.” GoldStep disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, quiet enjoyment, and non-infringement. We do not warrant that services will be error-free, uninterrupted, secure, or meet your specific revenue or operational targets.

Some jurisdictions do not allow certain disclaimer limitations; in those cases, our disclaimers apply to the fullest extent permitted.

12. Limitation of liability

To the maximum extent permitted by law:

  • GoldStep and its owners, directors, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages; lost profits; lost revenue; lost bookings; lost data; reputational harm; business interruption; or cost of substitute services — whether based in contract, tort (including negligence), strict liability, or otherwise — even if advised of the possibility.
  • GoldStep’s total aggregate liability arising out of or related to the website or services will not exceed the amounts you actually paid to GoldStep for the specific service giving rise to the claim during the three (3) months immediately before the event first giving rise to liability (or, if no fees were paid, CAD $100).
  • These limits apply even if a remedy fails of its essential purpose.

Nothing in these Terms excludes or limits liability that cannot be excluded under Ontario law (including certain liability for fraud or for death/personal injury caused by negligence where such exclusion is prohibited).

13. Indemnification

You agree to defend, indemnify, and hold harmless GoldStep and its owners, directors, employees, contractors, and agents from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your content, scripts, business information, or instructions.
  • Your misuse of the services or violation of these Terms or law (including privacy, CASL, call-recording, advertising, and consumer laws).
  • Disputes between you and your customers, guests, callers, employees, or competitors.
  • Alleged infringement arising from materials you provided.
  • Review or messaging practices you approve or direct.

14. Suspension and termination

We may suspend or terminate access (including websites, phone routing, SMS, and CRM automations) if you breach these Terms, fail to pay, misuse the services, create legal or security risk, or if required by law or a platform provider. On termination without website buyout, hosted sites may be taken offline and systems deactivated. Sections that by nature should survive (including IP, disclaimers, liability limits, indemnity, and governing law) survive termination.

15. Marketing materials and proof

Videos, demos, pricing pages, FAQs, testimonials, live-site screenshots, analytics tiles, and CRM examples are for education and illustration. They do not expand warranties beyond a signed agreement. Redactions exist to protect privacy and do not imply missing performance.

16. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. Exclusive venue for disputes lies in the courts of Ontario, Canada (conveniently Niagara region / Ontario courts), unless a signed agreement specifies arbitration or another forum. You and GoldStep submit to that jurisdiction.

17. General

  • Force majeure. Neither party is liable for delays or failures caused by events beyond reasonable control, including carrier outages, internet failures, labor disputes, epidemics, war, government action, or natural disasters.
  • Changes. We may update these Terms by posting a new version on /terms. Material changes for active paying clients may also be noticed by email. Continued use after the effective date constitutes acceptance to the extent permitted by law. Signed agreements are changed only as those agreements allow.
  • Severability. If a provision is unenforceable, the rest remains in effect.
  • No waiver. Failure to enforce a provision is not a waiver.
  • Assignment. You may not assign without our written consent. We may assign to an affiliate or successor.
  • Entire agreement. These Terms plus any signed Plan Summary / MSA / addenda and our Privacy Policy are the entire agreement regarding their subject matter, superseding prior informal discussions — with signed documents controlling conflicts for paid services.
  • Language. English controls.

These Terms are written to protect GoldStep and set clear expectations based on our published offer (month-to-month service, non-refundable implementation, website buyout path, and no ranking/revenue/review guarantees).
